NOTICE IS HEREBY GIVEN that the 6th Annual General Meeting (AGM) of the shareholders of Gomoa Community Bank Ltd will be held at Mephibosheth (Apam Junction) on Saturday, 30th August 2025 at 10:00 a.m. prompt to transact the following business:
AGENDA
- To read the notice convening the meeting.
- To receive the Annual Report of the Board Chairman.
- To receive and consider the Financial Statements and the Reports of the Directors and External Auditors for the year ended 31st December 2024.
- To authorize the Directors to fix the remuneration of the External Auditors.
- To fix the remuneration of Directors.
- To re-elect Directors retiring by rotation in accordance with the Companies Act, 2019 (Act 992).
RETIRING DIRECTORS
In line with the Bank of Ghana’s Corporate Governance Directive for RCBs (2021) and the Board Charter of the Bank, two current Directors will be retiring. However, both are eligible for re-election for another term. Interested shareholders are hereby invited to apply for consideration and election to the Board of Directors.
ELIGIBILITY FOR DIRECTORSHIP
Applicants must:
- Be shareholders of Gomoa Community Bank Ltd holding not less than 10,000 ordinary shares as at the date of this notice.
- Possess relevant experience, competencies, and personal attributes, including professionalism and integrity, and must meet the Bank of Ghana’s fit and proper test criteria.
- Have expertise in at least one of the following areas: Banking, Auditing, Law, ICT, Risk Management, or Strategic Management.
Applications, along with CVs should be submitted to the Board Secretariat, Apam, on or before 5:00 p.m. on Friday, 15th August 2025.
ANNUAL FINANCIAL STATEMENT AND PROXY FORM
A member entitled to attend and vote at the meeting may appoint a proxy to attend and vote on their behalf.
